Terms of Service

The terms governing access to and use of the Konversation.io platform and services provided by Konversation Limited.

These Terms of Service ("Terms") form a legally binding agreement between Konversation Limited ("Konversation", "we", "us", or "our") and the individual or entity that accesses or uses the Services ("you" or "Customer"). By creating an account or using Konversation.io, you agree to these Terms.

1.Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Policy, Acceptable Use Policy, and AI Usage Policy. If you do not agree, you must not use the Services. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2.Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business and professional use. You may not use the Services if you are barred from doing so under applicable law or if your access has previously been suspended or terminated.

3.Account Registration

To use most features you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly at team@konversation.io of any unauthorised access or suspected breach of security.

4.User Responsibilities

You are responsible for:

  • your use of the Services and the conduct of your authorised users;
  • the content, automations, and configurations you create or deploy;
  • obtaining all necessary rights, consents, and permissions for data you process;
  • complying with applicable laws, including data protection, consumer, and electronic-messaging laws; and
  • maintaining appropriate disclosures to your own end users, including that they may be interacting with an AI system.

5.Subscription Plans

The Services are offered under subscription plans with different features, usage limits, and prices, as described on our pricing page. We may offer add-ons that are billed in addition to your base plan. We may change plan features and pricing on a prospective basis, with notice for existing subscription terms as required.

6.Billing and Payments

Fees are charged in advance on a recurring basis through our payment processor, Stripe. By providing a payment method, you authorise us to charge all applicable fees and taxes to that method. If a payment fails, we may retry the charge and may suspend or limit access until amounts due are paid. All fees are stated exclusive of taxes unless otherwise specified.

7.Renewals

Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current rate unless cancelled before the renewal date. You may cancel auto-renewal at any time from your account settings; cancellation takes effect at the end of the current paid period. Refund eligibility is governed by our Refund Policy.

8.Taxes

You are responsible for all applicable taxes, levies, and duties associated with your purchase, excluding taxes based on our net income. Where we are required to collect VAT or other taxes, these will be added to your invoice. If you are exempt, you must provide a valid exemption certificate or tax identifier.

9.Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy, which prohibits, among other things, unlawful activity, spam, security violations, infringement of intellectual property, fraud, and harmful uses of AI. We may investigate and take action, including suspension, for violations.

10.Intellectual Property

The Services, including all software, designs, text, graphics, and trademarks, are owned by Konversation or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. You may not copy, modify, reverse engineer, resell, or create derivative works except as permitted by law or with our prior written consent.

11.Customer Content

You retain all rights in the content you submit to the Services (“Customer Content”). You grant us a worldwide, non-exclusive licence to host, process, transmit, display, and otherwise use Customer Content solely to provide and improve the Services and as instructed by you. You are solely responsible for Customer Content and represent that you have the rights necessary to provide it.

12.AI Generated Content

The Services use AI to generate responses, suggestions, and other output (“AI Output”). As between the parties, and subject to third-party model terms, you may use AI Output generated for you in connection with your permitted use of the Services. AI Output may be inaccurate, incomplete, or unsuitable for a particular purpose, may be similar to output generated for others, and must be reviewed before reliance. Your use of AI features is subject to our AI Usage Policy.

13.Third-Party Services

The Services may integrate with third-party platforms, messaging channels, and tools. Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, or practices. You are responsible for complying with the terms of any third-party platform you connect, including messaging-channel policies.

14.Availability

We aim to keep the Services available and reliable as described in our Service Level Agreement. The Services may nonetheless be unavailable from time to time due to maintenance, updates, or factors beyond our control. We may modify, suspend, or discontinue features at our discretion, with reasonable notice for material changes where practicable.

15.Beta Features

We may offer features identified as beta, preview, early access, or experimental (“Beta Features”). Beta Features are provided “as is”, may be changed or withdrawn at any time, and may not be subject to the same availability or support commitments. Use of Beta Features is at your own risk.

16.Suspension

We may suspend or limit your access to the Services, in whole or in part, if we reasonably believe you have violated these Terms or our policies, your account poses a security or legal risk, payment is overdue, or suspension is required by law. Where practicable, we will provide notice and an opportunity to remedy the issue.

17.Termination

You may terminate your account at any time by cancelling your subscription and ceasing use of the Services. We may terminate or suspend these Terms and your access for material breach, unlawful use, or non-payment. Upon termination, your right to use the Services ceases, and we may delete your data in accordance with our retention practices and the Data Processing Agreement. Provisions that by their nature should survive termination will survive.

18.Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.

19.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO KONVERSATION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

20.Indemnification

You agree to indemnify, defend, and hold harmless Konversation and its affiliates, officers, and employees from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, your violation of these Terms or applicable law, or your infringement of the rights of any third party.

21.Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, without regard to conflict-of-laws principles.

22.Dispute Resolution

22.1Informal resolution

Before bringing a formal claim, the parties agree to attempt to resolve any dispute informally by contacting team@konversation.io and negotiating in good faith for at least 30 days.

22.2Jurisdiction

If a dispute cannot be resolved informally, the courts of England and Wales will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

23.Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and provide notice where appropriate. Your continued use of the Services after changes take effect constitutes acceptance. These Terms were last updated on June 15, 2026.
